\">Loans<\/h2>[vc_row_inner][vc_column_inner el_class=&#8221;ancho100-l&#8221; width=&#8221;1\/2&#8243;][vc_column_text]<strong>The most outstanding features of the subordinated loans are:<\/strong><\/p>\n<ul>\n<li>As well as the fixed interest rate, a variable interest rate is established linked to the evolution of the company activity.<\/li>\n<li>No commission on the opening, study, early redemption, etc.<\/li>\n<li>Enforceability is subordinated to any other credit or responsibility of the borrower, coming after common creditors in the order of credit precedence.<\/li>\n<li>They are considered as accounting equity for the purpose of capital reduction and winding up of companies under the commercial law.<\/li>\n<\/ul>\n<p>[\/vc_column_text][vc_empty_space height=&#8221;20px&#8221; el_class=&#8221;spacer-bottom&#8221;][vc_column_text]<strong>When the loan is formalised, which will be overseen by a public notary, as a minimum the following aspects shall be undertaken:<\/strong><\/p>\n<ul>\n<li>Annual audits to ensure the transparency and quality of the internal data.<\/li>\n<li>The periodical supply of information regarding the company activity.<\/li>\n<\/ul>\n<p>[\/vc_column_text][\/vc_column_inner][vc_column_inner el_class=&#8221;ancho100-l&#8221; width=&#8221;1\/2&#8243;]<h2 class=\" text-left   \" style=\" margin-bottom: px; \">Share Capital<\/h2>[vc_column_text]<strong>The main characteristics that define participation in the share capital are:<\/strong><\/p>\n<p><strong>Minority: <\/strong>The SRP does not contribute more capital than the company owner in the development of its corporate project, and always under 50%.<\/p>\n<p><strong>Temporary: <\/strong>The length of time the SRP will be a company shareholder, is generally between 5 and 7 years, which is considered to be enough for the investment project to have consolidated its implementation stage.<\/p>\n<p>When the aspects relating to its withdrawal are established, the SRP and the promoters sign a purchase and sale commitment for the equity, establishing at this point the date of withdrawal, the price fixing form and the payment method.<\/p>\n<p>Furthermore, when the participation is formalised, the following aspects, among others, are collected in the articles of association of the affiliate companies:<\/p>\n<ul>\n<li>The shares of the SRP shall be preferential rate.<\/li>\n<li>A minimum representation of the SRP in the Administrative Board.<\/li>\n<li>The establishment of enhanced majorities for specific decisions that affect the company viability.<\/li>\n<li>The undertaking of annual audits to ensure the transparency and quality of internal data.<\/li>\n<li>The periodical supply of information regarding company activity.<\/li>\n<\/ul>\n<p>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][\/vc_column][\/vc_row][vc_row fullwidth=&#8221;yes&#8221; If it fits within the investment strategy of the company, the company should present a five-year business plan <a href=\"https:\/\/srp.es\/wp-content\/uploads\/2017\/09\/plan-negocio-empresarial.doc\" target=\"_blank\" rel=\"noopener noreferrer\">(link to download the Business Plan)<\/a>.<\/li>\n<\/ul>\n<p>[\/vc_column_text][\/vc_column_inner][vc_column_inner width=&#8221;1\/4&#8243;][vc_column_text el_class=&#8221;caja-cuadrado&#8221;]<\/p>\n<ul>\n<li><strong>2<\/strong><\/li>\n<li><em>Investment analysis<\/em> The SRP shall designate an investment analyst who will analyse the viability of the investment.<\/li>\n<\/ul>\n<p>[\/vc_column_text][\/vc_column_inner][vc_column_inner width=&#8221;1\/4&#8243;][vc_column_text el_class=&#8221;caja-cuadrado&#8221;]<\/p>\n<ul>\n<li><strong>3<\/strong><\/li>\n<li><em>Proposal to the Board<\/em> Once this examination process is completed, the investment analyst shall develop a proposal to present to the SRP Administrative Board, which will be the entity that approves or rejects the participation of the company in the project.<\/li>\n<\/ul>\n<p>[\/vc_column_text][\/vc_column_inner][vc_column_inner width=&#8221;1\/4&#8243;][vc_column_text el_class=&#8221;caja-cuadrado&#8221;]<\/p>\n<ul>\n<li><strong>4<\/strong><\/li>\n<li><em>Formalization<\/em> If the administrative board approves the investment, it is formalised and the SRP names, if applicable, representatives in the administrative board of the invested company.<\/li>\n<\/ul>\n<p>[\/vc_column_text][\/vc_column_inner][\/vc_row_inner][\/vc_column][\/vc_row][vc_row fullwidth=&#8221;yes&#8221;][vc_column][vc_empty_space height=&#8221;20px&#8221;
